During almost 30 years, Pierre held various management positions within the ING group (initially Bank Brussels Lambert), both in Belgium and abroad (Dubai). Prior to founding Walkiers & Wauthier with Pierre Walkiers, Xavier Wauthier was running an independent advisory practice (Advisao). The owner of the company wished to retire; he had two children who were willing to take over and pursue the real estate development and distribution activities of the group, but who had no real interest in the construction arm. Together with the shareholder of the group, we envisaged and analyzed various options. Having ruled out the management buy-out scenario, a dual track was pursued:  IPO (Initial Public Offering) and trade sale. After a pre-marketing phase, it appeared the IPO route was not enabling to capture the full value potential of the business. We concentrated our efforts on organizing a competitive auction process among a small number of relevant trade buyers. The process design and its efficient management enabled us to maximize the sale proceeds and to minimize future risks. The company was sold to a strategic consolidator, who integrated the business and developed it both nationally and internationally.

Our client had learned that one of his competitors was confronted with financial difficulties. He asked us to further investigate into the operations of this group. It appeared that if the group, as a whole, was indeed facing serious financial troubles, some of its units were not only performing well but would also perfectly complement our client’s business. We therefore entered into discussions with the counterparty with a view to buying the well-performing assets. An acquisition of the group’s shares was immediately excluded as the uncertainty of the target’s financial situation and the risks involved could have affected our client’s financial health. We were finally unable to reach an agreement with the counterparty and the latter went bankrupt. Our mission then consisted in negotiating some selected asset deals with the group’s liquidator, under the control of the commercial court. Our client was in a position to acquire some key assets out of the bankrupt group, significantly reinforcing his market position. The transaction was also benefitting the employees and the creditors of the bankrupt group.

Global player in the fertilizer sector

A multinational petrochemical company had decided to divest all of its fertilizer operations worldwide and had engaged an investment banker to conduct a competitive auction process with this in view. For our client, the acquisition of this business unit was a major step in the execution of his (external) growth strategy and a real game changer. Therefore, he was eager to preempt the auction process. Because of our sector knowledge and our privileged access to the counterparty, we were mandated to negotiate the deal. In the first instance, we helped our client articulate an attractive proposal and we obtained the negotiation exclusivity. Then, we efficiently and effectively coordinated the due diligence works within a particularly tight timeframe. Finally, we had to set up and manage the public takeover bid pertaining to the shares, which the seller did not hold in one of the Belgian entities of the business unit.

As a result of a competitive tender procedure, we were engaged by the Government and a number of institutional investors and financial institutions to sell a controlling stake in a major European airport. We were retained as financial advisor to the selling shareholders on the basis of our deep knowledge of the aeronautic industry in the broadest sense of the term (airline, aerospace, airport infrastructures), our privileged access to the investor universe (trade buyers and infrastructure funds) and our in-depth understanding of the socio-political context and constraints. Our first challenge in this mission was to align the interests of all stakeholders: the Government, the institutional investors and the company’s management. Thanks to a disciplined step-by-step approach and a competitive tension maintained throughout the auction process, we managed to achieve not only a truly attractive price well above the initial expectations but also very favorable terms and conditions in the shareholders’ agreement entered into by the Government and the new majority shareholder. This enabled a balanced and sustainable further development of the airport activities.

Our client was interested in acquiring a truly strategic asset, controlled by family shareholders but having also a significant number of unknown minority shareholders. In effect, the target company’s bearer shares had been publicly quoted on the Brussels Stock Exchange for many decades. The majority shareholders had mandated an investment bank to conduct an auction process and sell the company. The process was fiercely competitive as a lot of strategic buyers were keen to acquire this quite unique asset. Thanks to the appropriate strategic and tactical advice we provided to our client, the latter won the auction and gained control over the target company. Afterwards, we advised and assisted our client in the subsequent mandatory public takeover and squeeze-out bids. Ultimately, our client managed to acquire 100% of the target company’s share capital.

The majority shareholder of a publicly quoted company operating a fast-food restaurant chain had mandated an investment bank to auction the company. Our client was keen to acquire this attractive asset enjoying a leading position in two key European markets and hence wished to pre-empt the contemplated auction process. We were engaged by this buyer thanks to our acquaintance with the target, our relationship with the selling institutional investors, our stock exchange market capabilities, our expertise and experience in public takeovers (including legal and regulatory framework), as well as our capacity in structuring the acquisition debt. We helped our client address the challenges of this complex situation and circumvent the numerous obstacles. We convinced the sellers to grant exclusivity to our client. Finally, our customer accomplished a successful takeover bid and acquired 100% of the company’s share capital.

The BeNeLux business development team of a global industrial group (total revenues in excess of EUR 50bn) reviewing its business model identified HVAC services to individuals and small businesses in Belgium as an attractive market to diversify an evolving revenue base. This group intended to consolidate a very fragmented market mostly consisting of small- and medium-sized companies presenting high gross margins and many operating improvement opportunities. We were mandated to conduct the market screening and identify potential targets (long list of approximately 50 companies). We presented such long list to our client and selected together a short list of 10 to 15 companies. We contacted these companies whose managers often happen to be the major shareholders and presented them with the project of our client. The discussions were initiated with half a dozen entrepreneurs who were interested in further discussing the industrial project, understanding their role, how they would fit in such project and what would be the benefits and terms of a possible transaction. We assisted the client in evaluating the industrial added value of each business; identifying strengths, risk areas and possible mitigants. We also completed the valuation of the contemplated acquisitions, assisted and coordinated the client’s teams in the due diligence process (financial, tax, human resources). We participated actively in the negotiation of the legal documentation (non-binding offers, binding offers, share purchase agreements, asset purchase agreements, management contracts, lease agreements) together with our client’s law firm. The client ended up acquiring 3 companies. From the market screening to the conclusion of the third transaction, we assisted and advised our client over a period of 18 months. Our contribution and added value:

Founded in the first half of the 20th century, the company was ran run by the second generation (shareholders and executives in the company) and had become a leading well-known player in Belgium. There was no obvious succession and the family decided that the best option to ensure the future of the company and secure the value they created was to sell the business. We were mandated as exclusive advisors to the shareholders, organized a highly competitive auction and carefully screened and selected bidders invited into discussions based on perceived interest and knowledge of the sector. Approximately 15 potential acquirers were contacted, mainly industrial players and a very limited number of investors having a distinctive industrial approach. The first round resulted in 5 non-binding offers. 3 potential acquirers entered the second round and were granted access to the data room (including Q&A and management meetings). All of them submitted a binding offer. A local competitor came out as the preferred bidder offering a competitive transaction value and limited representations and warranties (in duration, scope and values). Our contribution and added value:

Minority shareholders including a co-founder of a leading Belgian contract research organization decided to monetize their investment in the company. We were mandated as exclusive advisors to the sellers. With the cooperation of the company and its board of directors, we drafted transaction documentation (incl. non disclosure agreement, process letter and confidential information memorandum) and compiled an extensive data room. It was agreed with the sellers and the board of directors of the company that no industrial company would be approached and the transaction would not significantly impact the governance of the company. We organized a competitive process and contacted a limited number of potential private investors and private equity firms who had a particular interest in the sector. Less than 20 confidential information memoranda were circulated in the first round which resulted in many expressions of interest. Considering the perimeter of the proposed transaction (minority shareholding) and the limited possibilities to impact the governance, different potential acquirers withdrew from the process. The first round ended on the reception of less than 5 non-binding offers. The discussions with these parties were complex as some potential acquirers wished to buy more shares than what was offered by the sellers or wanted to further impact the governance of the company. After a due diligence and different expert sessions with the key managers of the company, a private equity firm entered into exclusive negotiations with the sellers which resulted in a favorable transaction for the sellers and increased visibility for the company while meeting the requirements of its board of directors: containing management and business disruptions and limiting governance impact. Our contribution and added value:

Due to changes in the competitive landscape, Air Belgium, a newly created airline, had initiated a profound strategic review aiming at implementing a revised business model: new destinations, new customer segments, new freight operations... In this context, Air Belgium needed to carry out an increase of its shareholders' equity. We assisted the management of Air Belgium in the development of the company's new business plan, in quantifying the capital requirements, in negotiating the terms and conditions of the contemplated equity raising transaction with the company's existing Belgian and foreign shareholders, and in approaching a number of EU-based private investors familiar with the airline industry. This exercise resulted in the existing institutional shareholders injecting the required capital, both in equity and in subordinated debt.

Inclusio had been created in 2011 by three founders-investors as a real estate investment company aiming at offering a response to the lack of housing for people with low income or people in difficulty. Over the years, Inclusio had managed to attract institutional investors in the perspective of transforming the company into a regulated real estate investment trust (société immobilière réglementée / gereglementeerde vastgoedvennootschap) and floating it on the Euronext stock exchange. During more than a year, we advised Inclusio’s Board of Directors in various aspects of the IPO preparation, including: selection of the global coordinator for the offering; terms and conditions of the global coordinator’s engagement; selection of the joint-bookrunner; transformation of the company’s legal form; takeover by Inclusio of its statutory manager; offering structure (institutional vs. retail tranche, claw-back, greenshoe…); pricing of the shares offered in the IPO. We also rendered fairness opinions on these different topics. This successful IPO enabled Inclusio to raise € 60 million of fresh capital.

Founded in 1872, Vinçotte is the undisputed TIC market leader in the Benelux with approximately € 200 million of sales and almost 2,000 employees. Despite the specific context of the Covid-19 pandemic, Vinçotte was approached by various interested acquirers: both trade buyers and financial investors. We assisted the Vinçotte Group and its sole shareholder, the Vinçotte Foundation, in assessing the opportunity for Vinçotte to join forces with a strategic or financial partner and, if so, on which terms and under which conditions. On the basis of this thorough analysis, Vinçotte’s Board of Directors decided to enter into a selective sale process with a limited number of parties, with a view not only to maximizing the sale proceeds and minimizing future risks, but also to ensuring the company’s perennity and development, and offering positive perspectives for the group’s employees. We then advised and assisted Vinçotte in all aspects of the transaction: process design and management, data compilation, documentation drafting and negotiations with the various candidate acquirers. Finally, Vinçotte has reached a deal with Dutch peer Kiwa, which meets both the financial targets and the strategic goals set by the selling shareholder to unleash the great potential of Vinçotte and its highly qualified staff.

Founded in 1946 and headquartered in Verviers, the Vermeire Group is one of Belgium’s leading distributors of power transmission solutions. The Group also includes Serax, a producer of pulleys located in the North of France, and Aciers Crustin, a cold drawn steel supplier also based in Verviers. In 2021, the Vermeire Group, run by the founder’s grandchildren, delivered EUR 30 millions of sales with 67 employees. Thanks to its highly regarded technical know-how and expertise, the Vermeire Group has built long-standing partnerships with its suppliers and customers. Walkiers & Wauthier was mandated as exclusive advisors to the Vermeire family, organized a competitive auction and carefully screened and selected bidders invited into discussions based on perceived interest and knowledge of the sector. Walkiers & Wauthier managed the whole sale process in all aspects and coordinated the different parties involved: the sellers, the potential acquirers and the external advisors (legal counsel, vendor assist provider, etc.). What you will do

Supporting marketing activities

  • Prepare and draft pitchbooks and other marketing materials. Among others:
    • conduct sector/industry analyses;
    • understand and summarize companies’ strategic positioning;
    • conduct thorough financial analyses;
    • compile qualitative and quantitative information on M&A activity;
    • produce relevant valuation support material
  • Draft detailed sector-focused materials
  • Prepare periodic updates of valuation materials (e.g. multiples of listed companies, multiples of announced M&A transactions)
  • Other: work together with the partners on new business opportunities and participate in the presentations made to prospects and existing clients

Assisting the partners in the execution of the transactions:

  • Prepare the transaction documentation (e.g. teasers, information memoranda, investment memoranda and other presentations)
  • Participate in the coordination of involved parties (clients, investors/sellers, external advisors including law firms, audit firms, consulting firms, financing providers)
  • Organize and manage the due diligence process
  • Support to final legal negotiations
  • Develop complex financial models (operating model, discounted cash flow, LBO model)

Education and Experience

  • Outstanding academic track record from a reputable university, business school or engineering school.
  • You completed at least one internship and have max 3 years of professional experience, ideally gained in corporate finance or consulting.

  • High trustworthiness and reliability with strong sense of integrity and confidentiality
  • Customer-minded with a flexible and energetic team-playing mentality
  • Curious and capable of self-examination
  • Good interpersonal skills and ability to develop strong relationships at all levels

Languages & IT

  • Fluency in English and French and/or Dutch.
  • Experience of MS Office, database
